In this document, “we”, “our”, or “us” refer to Independent Investment Consultancy.

Purpose:

This agreement governs the relationship between Independent Investment Consultancy (IIC) and its clients, outlining the terms of service, payment, confidentiality, and dispute resolution procedures.

Content:

  1. Definitions:

    • Define key terms like “client,” “services,” “fees,” etc.
  2. Services:

    • Describe the specific services offered by IIC (e.g., investment analysis, portfolio reviews, financial planning).
    • Explain the scope and limitations of the services.
  3. Fees and Payment:

    • Detail the fees for each type of service, including hourly rates, project fees, or retainer fees.
    • Specify payment terms, due dates, and accepted methods of payment.
    • Outline any late payment fees or interest charges.
  4. Client Responsibilities:

    • Describe the information and cooperation expected from the client for IIC to provide services effectively.
  5. Confidentiality:

    • Explain the obligations of both IIC and the client to maintain the confidentiality of sensitive information shared during the engagement.
    • Define exceptions to confidentiality, such as disclosures required by law.
  6. Termination:

    • Specify the conditions under which either party can terminate the agreement.
    • Outline any notice requirements for termination.
  7. Limitation of Liability:

    • Limit IIC’s liability for any losses or damages arising from the use of its services, except for gross negligence or willful misconduct.
  8. Indemnification:

    • Have the client agree to indemnify and hold IIC harmless from any claims, damages, or losses arising from the client’s use of IIC’s services.
  9. Dispute Resolution:

    • Describe the process for resolving disputes, such as mediation or arbitration.
  10. Governing Law:

    • Specify the jurisdiction whose laws will govern the agreement.
